Ascential Growth LLC

These Terms of Service (“Terms”) govern access to and use of the websites, coach and client portals, scheduling, messaging, landing-page, consulting, support, and related services provided by Ascential Growth LLC (“Ascential Growth,” “we,” “us,” or “our”), collectively the “Services.”

By creating an account, purchasing a Service, clicking to accept, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and United States Availability

The Services are currently intended for users and businesses based in the United States. Coaches must be at least 18 years old and capable of entering a binding agreement. Clients must be at least 13 years old.

A client age 13 through 17 may use an account only after a parent or legal guardian completes the designated consent section, provides requested information, accepts these Terms on the minor’s behalf, acknowledges the Privacy Policy, and signs electronically. The parent or guardian represents that they have legal authority to provide consent. Ascential Growth may send a confirmation notice and may request additional verification when reasonably necessary. Users under 13 may not create accounts.

2. Accounts and Security

You must provide accurate, current information and keep it updated. You are responsible for safeguarding credentials and for activity under your account. Accounts may not be sold, transferred, shared improperly, or used to impersonate another person. Notify support@ascentialgrowth.com promptly of suspected unauthorized access.

Ascential Growth may use role-based permissions. Coaches must ensure that only authorized personnel access client information. Coaches are responsible for removing access when a team member no longer needs it.

3. Ascential Growth’s Role; Coach and Client Responsibilities

Ascential Growth supplies software and optional business services. Unless expressly stated in a separate agreement, Ascential Growth is not the coach, trainer, employer, agent, partner, medical provider, payment intermediary for coach-client transactions, or provider of the underlying coaching service.

Coaches independently control their services, qualifications, client acceptance, session prices, availability, cancellation and refund policies, communications, safety practices, taxes, licenses, insurance, and legal compliance. Coaches are solely responsible for obtaining permission to enter client information and for providing appropriate notices to clients. Clients are responsible for evaluating a coach and following appropriate safety and medical guidance.

4. Platform Features

Features may include scheduling, availability, booking rules, client profiles, reminders, portal messaging, account notifications, landing-page tools, and related functions. Features may be added, changed, limited, or discontinued. Automated reminders and notifications are conveniences only; users remain responsible for checking schedules and communications.

Messages may be delayed, filtered, undelivered, or affected by a carrier, device, service provider, internet connection, or incorrect contact information. Ascential Growth does not guarantee delivery of any notification.

5. Subscriptions, Billing, and Cancellation

The Foundation plan is currently offered at $79 per month, with no setup fee and no per-client fee. Subscriptions automatically renew monthly until canceled. You authorize Ascential Growth and its payment processor to charge the payment method on file for recurring fees, taxes, and authorized purchases.

You may cancel at any time. Cancellation takes effect at the end of the then-current paid billing period, and access continues through that period unless the account is terminated for cause. Fees are nonrefundable and will not be prorated except where required by law or expressly stated by Ascential Growth.

Ascential Growth may change pricing or plan features with reasonable advance notice. Failure to pay may result in retries, restricted access, suspension, or termination. You are responsible for applicable taxes other than taxes imposed on Ascential Growth’s net income.

At launch, Ascential Growth does not process payments between coaches and their clients. Any payment for coaching services occurs outside Ascential Growth and is governed by the coach’s policies and chosen payment provider.

6. Landing-Page Setup and Maintenance

Ascential Growth may offer an optional coach landing-page service for a $199 one-time setup fee and $19 monthly maintenance fee. The setup fee becomes nonrefundable once work begins. The maintenance plan automatically renews monthly and may be canceled at any time. The page remains available through the paid maintenance period and may be taken offline afterward.

The coach must timely provide complete, accurate content and approvals. Delivery dates are estimates. Routine text and photo updates may be included in maintenance as described by Ascential Growth; major redesigns, new sections, custom functionality, or substantial revisions may require additional fees and approval.

Ascential Growth retains ownership of reusable templates, layouts, components, processes, and design systems. The coach retains ownership of logos, photos, testimonials, trademarks, and original content supplied by the coach. The coach grants Ascential Growth a nonexclusive license to host, reproduce, adapt, display, and use that content as needed to perform the service. The coach represents that submitted content is accurate and does not infringe third-party rights.

Ascential Growth does not guarantee traffic, leads, bookings, revenue, search ranking, or any business result. Ascential Growth may reject or remove unlawful, misleading, infringing, unsafe, or prohibited content.

7. Optional Consulting and Growth Services

Ascential Growth may separately offer business support, marketing assistance, strategy, design, or consulting. Additional scope, fees, timelines, and deliverables may be set out in an order form, proposal, or service agreement. Recommendations are informational and do not guarantee leads, revenue, growth, profitability, or other results. Coaches remain responsible for business decisions and implementation.

8. Portal Messaging and Communications

Coaches and clients may communicate through authenticated portal messaging. Users must not use portal messaging for emergencies, urgent medical matters, harassment, unlawful activity, or transmission of unnecessary highly sensitive information. Call 911 or the appropriate emergency service in an emergency.

Ascential Growth may process, store, and access messages when reasonably necessary to deliver the Services, provide support, maintain security, investigate suspected misuse, protect users, or comply with law. Users should communicate professionally and retain any records they independently require.

9. SMS Terms

Users may voluntarily opt in to automated SMS messages from Ascential Growth concerning booking confirmations, appointment reminders, cancellations, schedule changes, account notices, support, or new portal messages. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for assistance. Consent is not a condition of purchase, account creation, or booking. Carriers are not liable for delayed or undelivered messages.

Providing a phone number does not by itself constitute SMS consent. SMS consent must be provided separately and may be withdrawn. Ascential Growth may later offer promotional messages only after obtaining separate express consent and providing required disclosures. Opting out of SMS does not prevent essential notices through email or the portal.

10. Health, Fitness, and Emergency Disclaimer

Ascential Growth does not provide coaching, medical advice, diagnosis, treatment, rehabilitation, nutrition therapy, or emergency services. The Services do not replace consultation with a qualified healthcare professional. Coaches are independent providers, and Ascential Growth does not verify or guarantee every coach’s credentials, methods, safety, suitability, or results.

Participation in physical activity carries risks, including injury. Coaches and clients are responsible for determining whether activities are appropriate, obtaining medical clearance where advisable, and responding to emergencies. Ascential Growth is not responsible for injuries, losses, or health outcomes caused by a coach, client, training program, facility, equipment, or underlying service.

11. User Content

“User Content” includes text, messages, notes, images, videos, testimonials, branding, files, and other materials submitted through the Services. You retain ownership of your User Content. You grant Ascential Growth a worldwide, nonexclusive, royalty-free license to host, store, reproduce, process, transmit, adapt, and display User Content as reasonably necessary to operate, improve, secure, and support the Services.

You represent that you have all rights and permissions needed for your User Content and that it is accurate, lawful, and does not violate privacy, publicity, intellectual-property, contractual, or other rights. Coaches must obtain appropriate consent before entering or uploading information about clients or minors.

12. Acceptable Use

You may not:

Use the Services unlawfully, fraudulently, deceptively, or to facilitate harm.
Harass, threaten, exploit, discriminate against, or impersonate another person.
Upload malware, interfere with security, probe vulnerabilities, scrape without authorization, or overload the Services.
Access another coach’s or client’s data without authorization or attempt to defeat account separation.
Send spam, purchase or sell contact lists, or send messages without legally sufficient consent.
Upload content that is infringing, defamatory, obscene, abusive, unsafe, or otherwise prohibited.
Reverse engineer, copy, resell, sublicense, or commercially exploit the Services except as expressly permitted.
Use nonpublic features, materials, or access to build or assist a competing product or service.
Use the Services for emergency dispatch, medical diagnosis, or storage of unnecessary comprehensive medical records.

13. Ascential Growth Intellectual Property and Feedback

The Services, software, templates, interfaces, workflows, designs, branding, documentation, and related intellectual property are owned by Ascential Growth or its licensors and are protected by law. These Terms grant only a limited, revocable, nonexclusive, nontransferable right to use the Services during an active account for their intended purpose.

If you provide suggestions or feedback, you grant Ascential Growth the right to use it without restriction or compensation, provided Ascential Growth does not publicly identify you without permission.

14. Third-Party Services

The Services may depend on third-party hosting, database, communications, payment, analytics, website, accounting, and integration providers. Third-party terms and policies may apply. Ascential Growth is not responsible for third-party services, outages, content, acts, or omissions outside Ascential Growth’s reasonable control.

15. Privacy

Ascential Growth’s Privacy Policy explains how personal information is handled and is incorporated into these Terms by reference. Coaches may have separate privacy obligations to clients and must comply with applicable law.

16. Suspension and Termination

Ascential Growth may suspend or terminate access if fees are overdue; information is false; use creates security, legal, reputational, or safety risk; these Terms are violated; or suspension is reasonably necessary to protect users or the Services. Where practical, Ascential Growth may provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute terms.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Ascential Growth DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. Ascential Growth DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DATA, MESSAGE, REMINDER, LEAD, BUSINESS RESULT, OR COACHING OUTCOME WILL BE ACCURATE OR ACHIEVED.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Ascential Growth AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR INJURY OR LOSS ARISING FROM A COACH, CLIENT, TRAINING PROGRAM, OR THIRD-PARTY SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Ascential Growth’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Ascential Growth DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME LIMITS MAY NOT APPLY.

19. Indemnification

To the extent permitted by law, coaches agree to defend, indemnify, and hold harmless Ascential Growth and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from the coach’s services, client relationship, User Content, policies, legal violations, misuse of the Services, or breach of these Terms. Ascential Growth may control the defense of a covered claim, and the coach will reasonably cooperate.

20. Governing Law and Courts

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services must be brought in the state or federal courts with jurisdiction in Ohio, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking appropriate temporary or injunctive relief.

21. Changes to the Services or Terms

Ascential Growth may update the Services or these Terms. We will post revised Terms with a new effective date and provide additional notice when required. Material changes generally apply prospectively. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.

22. General Terms

These Terms, the Privacy Policy, and any applicable order form or separate service agreement constitute the agreement between you and Ascential Growth concerning the Services. A specific signed agreement controls over conflicting general language in these Terms for its subject matter. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without Ascential Growth’s consent; Ascential Growth may assign them in connection with a reorganization, financing, merger, or sale. Headings are for convenience only. Electronic communications and signatures satisfy writing requirements where permitted by law.
